It must be a normal Editor: Notepad (--> see Davids post), Editor, or Wordpad. Never use a wordprocessing software (Word, Open Office, WordPro...), because this will add many control blocks, formatting and others. The XER-file would be destroyed.
Only work with a copy!

XER can be opened with Notepad. This is useful for doing quick integrity check prior to importing projects from other databases.

Some time ago I had to import 2.1-files into P5. It worked with a small trick.
Primavera by default only allows to import from the previous version. 2 things to be done:
1. The information by which version the xer was produced is in the first line. Youll modify 3.5 to 5.x - your version.
2. Check if a group name was modified. I dont believe this is the case. If yes youll change it to the new name.
(In the bove mentioned case I had to do it.)
You can open a xer-file with any editor.
